Kairos — Re-contract Clauses (2026-07-18)
The exact re-contract position, drafted for Lee's review after the Claude adjudication of the Sol red team (Kairos — 30km Fresh-Eyes Audit (2026-07-18), final section). Nothing here has been sent. The July 6 terms remain preserved in Kairos — Proposal DRAFT v1; public immutable history begins with the later Kairos v1.0.0 release. The current proposal lives at kairos.leematulis.com. The position in one paragraph
Same engagement, same people, same warmth — tighter frame. The 30 days become a Decision & Economics Sprint: its job is to make the company's real economics visible and force one written portfolio decision, not to promise growth. Every term below protects the work without interrogating the friendship. The one Sol demand deliberately dropped: no full corporate data room before signature. Building that data room IS the sprint's first work product — asking for it upfront asks the client to do the engagement's work before paying for it.
Pre-signature gates (the only three hard ones)
- Named contracting entity + authorized signer. One line in the agreement: which company signs, who signs it. Plain framing for Šaras: "So the invoice has an address — which entity is engaging us, and who signs?"
- Payment protection. Recommended: 50% invoiced at signing with a payment date, 50% at day 30 — both dates fixed in the calendar, unaffected by data-access or availability delays. (Sol wanted 100% prepaid; with friends, date-fixed halves buy the same protection without signaling distrust. If Lee prefers prepaid, say so at the sit-down — Šaras named the €10k himself and is casual about money.) Fiat, not MYST.
- No public attribution. Neither side uses the other's name, logo, case study, or endorsement publicly without written approval. This protects Lee's brand from proxy-industry optics AND gives MN the same courtesy — easy to frame as mutual.
Sprint-structure clauses (in the proposal body, not gates)
- Named counterparts, day 1. Executive sponsor (Ro), data owner, implementer, budget owner — four names on a page in the kickoff. Not a gate, a kickoff agenda item.
- 48-hour decision SLA. Questions and decision requests get an answer inside two working days; the clock pauses when the answer is late. This is the anti-indifference mechanism — the real product is urgency.
- Hours cap. ~100 combined hours across the 30 days (≈€100/h floor at €10k). Overage is a conscious re-scope conversation, not silent free work.
- The day-8 decision. Robertas + the revenue authority choose, in writing, a disposition per portfolio line: defend · harvest · grow · partner · ring-fence as mission · kill. Already drafted in the Sol pass; this is the sprint's spine.
- Client-funded experiments and counsel. Any test needing real cash (paid traffic, test accounts) or specialist legal review is proposed with a budget and expected signal; runs only if MN approves and funds it. (Already in the 07-06 proposal — carries over unchanged.)
- Confidentiality + AI protocol. Internal data stays in the engagement's private workspace; named AI tooling; retention/deletion terms at exit. One short paragraph, not a legal annex.
- Long-game upside agreement(s), before the hunt. The live proposal’s “open the upside conversation later” sentence is no longer enough. The canonical four-layer structure, pursuit gate, instrument matrix, July 31 alignment, red lines, readiness system, and legal boundary now live in Kairos — Mammoth Protocol Architecture (2026-07-24). Exact economics remain open. (Also: Robertas's second-brain onboarding is its own engagement — never a free rider on this one.)
What deliberately stays out
- No pre-signature data room demand — first work product instead.
- No walk-away ultimatum language. If MN balks at a gate, that's a conversation, not an exit — the exit only triggers if entity/signer or payment protection genuinely can't be had.
- No price raise. €10k was Šaras's number; re-pricing now reads as bad faith. The hours cap fixes the economics from the other side.
