Proposal v2 — Kairos

What changed from v1 (07-06 → 07-23)

• Name: Kairos — new ship built alongside Ro's Matrix-fleet theme (build on top, never inherit an existing ship name). "Asymmetric Unit" = the crew descriptor/tagline, not the name. Alternates offered to Lee: Fulcrum, Vector, Antikythera (moonshot). Name is Lee-swappable in one word; not yet ratified by Šaras/Ro.
• Frame: monthly engagement, billed hourly — not a fixed retainer and not a 30-day trial. €50/hour per team member, pre-tax (Šarūnas + Linas), capped at 200 combined hours/month across both unless Robertas suggests or approves a different cap. Own AI tools included. ~€300/mo traffic valve (signals, not conversion proof — limit stated on the page); bigger experiments case-by-case, MN-funded on approval.
• Deliverables: "we don't know yet," made fundable by machinery — Monday five-line written update · every idea a killable hypothesis (graveyard linked) · monthly written decision gate: continue/stop, their call — no open cheque. (Ro pre-accepted not-knowing on the walk.)
• Three rings (Inside / Inside↔Outside / Outside) replace the X-ray/lever timeline as the hunting structure.
• Access doctrine per Lee's 07-23 correction: money floor (named 48h owner) + listening access (Slack presence, opt-in coffees, zero meetings — listening, not auditing).
• Plumbing kept from the 07-18 adjudication: entity/signer · fixed payment dates · mutual no-attribution · four named counterparts at kickoff · 48h SLA with clock-pause. Tone: collaborative, no ultimatums.
• Upside sentence retained, but now insufficient: sustained recurring revenue above an agreed threshold → open the upside conversation (rev-share/equity/token). On the 07-24 call, Ro explicitly argued that the sharing protocol should be written before the team hunts a mammoth-sized outcome, based on prior experience of a team fracturing after value was created without agreed rules. Exact economics remain open.
• Dual sign-off ready: Šaras's handwritten signature asset was supplied 07-24 and added beside Linas's. This is a proposal sign-off treatment, not evidence that the client agreement itself is signed.
• Retired: /ro one-pager (now redirects to /; slot reserved for Lee's hand-voiced LT one-pager) · EN|LT toggle (site is EN-only; a future LT one-pager will be LT-only) · all v1 annexes (their substance lives on the research page).

07-24 12:30 Zoom outcome — verbal green light

[!warning] Private call debrief Current employment information below came from Lee's debrief of the call with Robertas and Šaras. It is not public-surface material.

• Overall: green light; no objections raised. This is strong verbal approval, not yet an executed agreement.
• Runway: Ro floated a three-month pre-commitment instead of the initial one-month runway. The monthly decision gate still stands in principle. Contract meaning remains open: three months of committed spend with a monthly strategy gate, or three months cancelable month-to-month.
• Internal alignment: Ro + Šaras + Paulius Mozuras + Gitanas Kancerevycius will talk separately on Wednesday 07-29 or Thursday 07-30, after Ro returns from Russia in the first half of the week.
• Next trio call: Lee + Ro + Šaras on Friday 07-31, same or similar time to the 07-24 call (~12:30).
• Lee's availability: “full commitment” means ~80% of Lee's focus and energy from Monday 08-10. Family holiday in Smiltynė: 08-02–08-05. The buffer through 08-10 protects against spillover and lets Lee push the Vytautas house hard before the holiday and again after it, reducing competition for Kairos decision bandwidth.
• People-performance audit is explicitly real: Lee named the possibility that boots-on-the-ground work could find “20% of the workforce is deadweight.” That was an illustrative warning, not a measured finding. Ro answered that finding underperformance is not merely “likely”: they already know at least one remote team member was simultaneously working a second job, caught through LinkedIn posts showing him with another team at an event, and Ro expects there may be more.
• Valdas Petrulis: Ro said the original co-founder will be let go. The debrief does not establish whether Valdas is the same person as the confirmed two-job case; keep those facts separate until Ro/Šaras connect them.
• Method correction: epistemic caution was right, but it became over-caution when it omitted an explicitly in-scope people-performance lane. Kairos can name role fit, actual contribution, and hidden divided employment as legitimate operational questions while keeping every person-level conclusion evidence-gated.
• Long-game upside: Ro is actively for sharing the upside, but insists on written terms before the hunt rather than a negotiation after success. Lee agrees. This likely needs two clean boundaries—MN↔Kairos and Lee↔Šaras—but the exact parties, trigger, attribution method, instrument, pool, allocation, timing, and exit/dispute mechanics are not yet agreed. Lee’s operating stance: no greed — ever — but no slop either. Full private architecture: Kairos — Mammoth Protocol Architecture (2026-07-24).

Still open after the call

1. Exact three-month commitment, monthly-gate, payment, and cancellation mechanics.
2. Contracting entity, authorized signer, first invoice date, and formal start date.
3. Name ratification (Kairos vs alternatives).
4. Written long-game upside protocol(s) per Kairos — Mammoth Protocol Architecture (2026-07-24); exact parties and economics remain open.
